Upgrade the WordPress theme of two sites

I have two WordPress sites running on a theme from around 2008 that are working perfectly. I have purchased the latest version of the theme, but I expect the conversion to require careful analysis even though I think my original changes were mostly modifications to layout only. The sites involved are [login to view URL] and histalkpractice.com. The theme is Massive News from Press75.com.
This project will require installing my existing theme onto your development server along with my existing widgets, graphics, etc. for both sites. Then, get the visual appearance working normally and identify any customization that needs to be installed on the new themes. The end result should be sites that just look like the current live versions.
Both sites are high-volume commercial sites, so I need thorough planning and testing to avoid problems and downtime. I don't require any changes - I'm just looking to update the theme to avoid future conflicts with WordPress or PHP upgrades.
Once I have tested the changes and made sure they look/work like my current sites, the changes will need to be applied to my live sites.
Please describe in your proposal how you would approach the upgrade and how many you've performed similar to this since I haven't had one done for several years. I'm also open to paying hourly or changing my budget if needed. I have the new theme code that can be reviewed.
