upgrade oscommerce

This is a simple and straight forward project.
i need my oscommerce upgraded to the latest standard, and to be able to work with mysql 5.0+.
the osc i am using now does not work because of this problem, so orders are going to waste.
i need the cart upgraded while all the products are still in the db, and i do not want any merchant integration to fail.
please bid only if you can do this, and fast. i will need to know or see that you can work with osc.
i repeat, this is a simple project, so do not break the bank please.
